As a business lawyer and adviser with over 20 years of combined legal and business experience, Doug Holod helps entrepreneurs and business owners achieve their potential by maximizing opportunities while managing risk and minimizing expenses.

For emerging businesses, he assists with corporate structuring, raising capital, drafting and negotiation of contracts and mergers/acquisitions. Several of Doug's clients were financed at some stage by venture capital or strategic corporate investors and Doug has considerable experience in structuring these transactions in addition to more routine private placements. He helps more mature businesses in raising further growth capital, contracts, mergers/acquisitions, and board/corporate governance counseling.  

He represents clients in a broad range of industries, with a particular focus on the manufacturing, healthcare, and consumer/retail sectors. Doug also acts as a value-conscious general counsel for companies, coordinating and utilizing other Maslon lawyers when needed with employment, litigation, real estate or technology expertise.

Doug has been a member of Maslon's Governance Committee (i.e. its Board/Management Committee) since 2007 and served as Chair of Maslon's Business & Securities Group from 2001 to 2007.  

Doug is married, has four children and lives in an old Victorian house in St. Paul. When not working with clients or enjoying his family, Doug runs a few marathons each year.

Healthcare

  • Patient Choice Healthcare, Inc. - Doug worked raising common and preferred stock for this venture backed Minneapolis-based healthcare company. In addition to undertaking ongoing contract work, Doug worked with the company on its asset sale to Medica.
  • DestinationRx, Inc. - For this Los Angeles-based healthcare/technology company, Doug worked extensively on the company's Series A Preferred Stock offering led by a healthcare venture capital firm. Doug currently provides support to the Board and works on general corporate matters.
  • Acuo Technologies, Inc. - For this medical services technology company, Doug has assisted in private placements, contracts and ongoing corporate counseling.
  • First Circle Medical, Inc. - Doug worked with this Minneapolis-based business through its several preferred stock offerings with both venture capital firms and corporate strategic investors.

Manufacturing

  • Cima Nanotech, Inc. - Doug has worked extensively with this St. Paul-based developer of nanotechnology conductive coatings for use in manufacturing sectors. In addition to helping with several rounds of private placements, including joint ventures/investments with Japanese and Korean companies, Doug has helped negotiate various complex agreements with some of the company's business partners.
  • Hy-Capacity, Inc. - Doug assists this Iowa-based privately held manufacturer of agricultural parts by working on acquisitions, contracts with the company's distributors and providing general corporate counseling.
  • BRS, Inc. - Doug has worked extensively with this manufacturer of aircraft parachute recovery systems for over 10 years. For BRS, Doug has helped in the raising of new equity, acquiring other companies, securities and corporate counseling and negotiating agreements.

Retail/Restaurant/Service

  • Rainforest Cafe - Doug's first task at Maslon was working with an entrepreneur in raising capital for a restaurant concept that would include live birds and animals. That concept became the popular Rainforest Cafe. Doug worked closely with the company through its private placements, successful initial public offering and two follow-on public offerings. Doug has also provided corporate and securities counsel, and worked with Rainforest Cafe through its proposed mergers and subsequent sale via tender offer to Landry's Restaurants, Inc.
  • T-Rex Cafe - Another "big box"/themed restaurant company, Doug worked with the formation and expansion of this company which included a substantial capital investment.
  • Kuhlman Company - Doug helped this fashion-oriented retailer grow from one to over sixty units in a short period of time. For Kuhlman Company, Doug assisted in many private placements, stock equity plans and a reverse merger.
  • Juut Salonspa - Doug works extensively with this upscale salon business assisting in contract negotiations and general corporate counseling.
  • ZoneTrader, Inc.- ZoneTrader, Inc. provides an illustrative example of Doug's services throughout a business life cycle. Doug worked with ZoneTrader early on as it completed several "friends and family" fundraising rounds, then through later efforts raising over $65 million financing from national venture capital firms. Doug also counseled the company through its subsequent sale.
