David Polgreen is a member of Maslon's Business and Securities Group. He focuses his practice on mergers and acquisitions, private placements and public offerings of securities and general counseling of corporate clients. David represents public companies in connection with initial public offerings, acquisitions and securities compliance, as well as numerous private clients in private placements, acquisitions, asset sales, joint ventures and other transactions. David has extensive experience representing early-stage companies in connection with business formation issues, financing transactions (from the angel investor stage all the way up to late-round institutional investor financing) and general corporate matters, including employment, intellectual property and business planning issues. David also advises shareholders of closely-held businesses in connection with shareholder disputes.

Experience

The majority of David's practice is focused on counseling privately held businesses of all sizes in connection with asset and stock acquisitions, private placements, joint ventures, licensing arrangements, initial entity formation and business planning, shareholder disputes and other general business matters. David has also represented many publicly held companies in connection with merger transactions, initial public offerings, debt offerings, and Securities Exchange Act reporting. David has represented clients in various transactions involving publicly held companies:

  • Hana Biosciences, Inc., a publicly-held biotechnology company based in San Francisco, in its May 2006 registered direct offering of $40 million of common stock.
  • WPT Enterprises, Inc. (NASDAQ: WPTE), a media and entertainment company engaged in the development, production and marketing of televised programming based on gaming themes and the operation of an online gaming website, in connection with its $32 million initial public offering in August 2004.
  • Liberty Enterprises, Inc., a check printing and financial services company, in connection with the sale of Liberty to John H. Harland Company (NYSE: JH)for $160 million in June 2005
  • U.S. Bancorp Piper Jaffray in connection with its underwriting of a $60 million debt offering for Community First Bankshares, Inc.
  • AMN Healthcare Services, Inc. (NYSE: AHS), a company offering traveling nurse services, in connection with their $170 million initial public offering in November 2001.
  • Liz Claiborne, Inc. (NYSE: LIZ) in connection with its acquisition of Mexx Group BV, a closely held fashion concern in the Netherlands.
