As a business lawyer with four years of business experience and over 16 years of business law experience, Doug Holod understands businesses and what they really need in legal services. Doug advises businesses, from emerging through mature, on corporate, general business and strategic matters. Experience
Rainforest Café - Doug's first task at Maslon was working with an entrepreneur in raising capital for a restaurant concept that would include live birds and animals. That concept became the popular Rainforest Café. Doug has worked closely with the company through its private placements, successful initial public offering and two follow-on public offerings. Doug has also provided corporate and securities counsel, and worked with Rainforest Cafe through its proposed mergers and subsequent sale via tender offer to Landry's Seafood Restaurants.
ZoneTrader, Inc. - ZoneTrader, Inc. provides an illustrative example of Doug's services throughout a business life cycle. Doug worked with ZoneTrader early on as it completed several "friends and family" fundraising rounds, then through later efforts raising over $65 million financing from national venture capital firms. Doug also counseled the company through its subsequent sale in 2002.
Par Systems, Inc. - Doug worked with management of this manufacturing business in the company's 2002 leveraged recapitalization. His advice focused on structuring the transaction, negotiating and advising on several management-related agreements, and working with Maslon's tax and financial services attorneys to close a complex transaction in very short order.
Innovative Gaming Corporation of America - Doug has worked extensively as securities counsel to this Las Vegas based gaming machine manufacturer since 1997, providing securities counsel on several private placements and PIPE transactions in addition to providing general corporate counseling.
Grand Casinos - Doug worked on several mergers and acquisitions for Minnesota based Grand Casinos, including the company's 1998 $1.2 billion divestiture to Park Place Entertainment and the spin-off of Lakes Gaming.
Osmonics - Doug served as securities counsel for this NYSE listed company through its 2003 merger with General Electric.
Private emerging companies - Doug currently works with several private emerging companies in the following fields: medical devices; health care services, restaurant/entertainment, and manufacturing. Private mature companies- Doug has represented several mature and profitable private companies in their transactions, including sales to other private or public companies, and in complex business transactions.
