Ranga  Nutakki is a member of Maslon's Business & Securities Group. He has experience in general corporate and commercial law, securities law, mergers and acquisitions, joint ventures and strategic alliances and financing transactions.  Ranga is a 1999 cum laude graduate of the University of Minnesota Law School and received his B.S. in accounting from the University of Minnesota Carlson School of Management. Following law school, he clerked for The Honorable John M. Mason of the U.S. District Court, Minnesota.

Experience
  • Advised numerous public and private companies in a variety of industries, including biotechnology, mining, energy and other innovative fields. Examples of his experience with these clients include various domestic and international merger and acquisition transactions, strategic alliance transactions, financing transactions (including PIPE transactions), going private transactions, public reporting and other securities and general advisory matters.
  • Assisted a number of clients in completing business combination transactions, including merger, reverse merger, share exchange, and asset and stock purchase and sale transactions (and related financing transactions), both domestic and abroad. An example of Ranga's experience in this area includes his recent representation of a U.S. public reporting company in a proposed merger transaction with a foreign public company listed on the Hong Kong Stock Exchange. He also recently assisted a private company in its sale by merger to a large publicly listed pharmaceutical company based in China. Additionally, Ranga recently assisted a New Zealand corporation in structuring its operations in the United States and becoming a U.S. public reporting entity through the completion of a reverse merger transaction.
  • Assisted a number of companies, both public and private, with the acquisition of financing through private placements of debt and equity securities. For example, in 2007 Ranga assisted a public company issuer in raising in excess of $120,000,000 through two PIPE (private investment in public equity) transactions.
  • Serves as securities counsel to numerous public companies, including representation and advise relating to Securities Exchange Act disclosure reporting (e.g., Forms 8-K and 10-Q, and annual reports on Form 10-K), corporate governance, Sarbanes-Oxley and other securities compliance, 1933 Act registrations, listing and compliance with NASDAQ and other exchanges or quotation services.
  • Counsels businesses and provides general counsel to clients in matters such as employment agreements, redemption agreements, distribution agreements, management and services contracts, shareholder agreements, joint ventures, and organizational and administrative affairs.
  • Counsels clients with respect to the formation of new business entities, including limited liability companies, partnerships or subchapter S corporations, and matters of entity governance, which frequently includes the preparation of partnership agreements, member control or operating agreements, shareholder and other agreements.
