Venture Capital Funds
Overview
Maslon lawyers frequently assist in the formation and capitalization of venture-capital funds. Typically, our lawyers work with the venture capitalist to help structure the fund's terms and conditions, and prepare the fund's formation and organizational documents, including limited partnership or limited liability company agreements. After that, we assist with the preparation of an offering memorandum and subscription agreements that comply with federal and state securities laws. In addition, our tax lawyers may advise as to the taxable nature of the fund and/or its investments.
Our lawyers also represent funds in the purchase of the securities of a portfolio company. This may require negotiating and drafting preferred stock terms, including liquidation preferences, registration rights and stockholder agreements. Once the fund has been capitalized and it has invested in portfolio companies, we help venture funds comply with securities regulations and navigate state law with regard to operational matters.
