Maslon attorneys Michael Sampson, Diana Marianetti, and Shauro Bagchi will present at Minnesota CLE's Estate Planning for Business Owners seminar on January 8, 2018. As Program Chairs for the seminar, Michael and Diana will kick things off with a brief Welcome & Introduction.
Shauro's morning session, titled "Entities That Estate Planners Must Know," will discuss the characteristics of each of the most common business entities (C-Corporations, S-Corporations, LLCs, and Partnerships, including LLPs and LLLPs) and why business owners (and business lawyers) choose specific entities for specific types of businesses, with a focus on the mechanics of the entities from a business (rather than tax) perspective.
Diana will moderate the afternoon session, titled "Business Succession Planning Issues Panel," featuring Michael Sampson and other experts specializing in tax and business valuation. The panel will focus on the specific techniques estate planners can employ to help their clients transition a closely held business – whether that means transferring it within the family during lifetime or at death, selling it to a group of key employees, or selling it to a third-party.
Michael's legal practice focuses on high-end estate and tax planning, estate and trust administration, charitable planning, and business succession planning. He helps his clients focus on what it is they really want to accomplish with their wealth. After assisting his clients in identifying their specific wealth planning goals, Michael works with them and their other professional advisors to develop and implement wealth transfer strategies that are consistent not only with their goals, but also with their cash flow needs and tolerance for risk.
Diana works with families and businesses to design and prepare comprehensive estate plans through wills, trust agreements, and other related documents. In addition to her work in the Estate Planning Group, Diana is also a member of Maslon's Litigation Group, assisting clients with disputes involving fiduciary duties, trusts, and probate. Diana's prior experience in the area of complex commercial litigation brings unique perspective to such disputes.
Shauro focuses his practice primarily on national and cross-border mergers and acquisitions, securities offerings, business counseling, technology licensing, and general commercial contract drafting. He has significant experience negotiating and drafting equity and asset-sale transaction documents, merger agreements, securities offering memoranda, and various commercial agreements. He has been involved in legal issues throughout his professional career, including prior roles with the in-house corporate legal team of a Fortune 500 Minnesota company and the United States Department of Justice.
