Redwood 700, Inc.: Client Merger with AT&T

Redwood 700, Inc. (formerly known as Redwood County Telephone Company) was a regional telecommunications and broadband company based in Redwood Falls, Minnesota. Redwood sought assistance from Maslon in selling its telecommunications business to various parties over a period from August 2010 to March 2012.

Barry Gersick and Brad Pederson represented Redwood in divestiture transactions aggregating over $20 million, and in a multimillion-dollar transaction merging Redwood into a subsidiary of AT&T Inc. (AT&T) that transferred control of 22 lower 700MHz B and C Block licenses owned by Redwood in 72 counties and 17 cellular market areas in Minnesota and Wisconsin. Throughout the transactions, Maslon attorney Karen Bjorkman facilitated the transfers of thousands of easements and other real property interests, successfully dealt with Hart-Scott-Rodino antitrust notifications, and worked with the FCC to obtain the consents necessary to effect such transactions.
