Overview

Josh Hencik advises clients on a broad range of corporate and financial transactions. He helps clients with mergers and acquisitions by conducting due diligence, negotiating terms that fit the client's needs, and drafting documents for business transactions. Josh has experience documenting and conducting private placement due diligence, documenting loan transactions for commercial lenders, reviewing and documenting real estate transactions, reviewing title and survey materials, adhering to SEC regulations, and preparing corporate governance documents.

Prior to joining Maslon, Josh practiced corporate, real estate, and commercial lending law at a Phoenix law firm. During law school, Josh completed two 3-month judicial externships for the Maricopa County Superior Courts in Phoenix, Arizona, and served as a legal extern at the U.S. Department of Justice – Civil Division, Office of Foreign Litigation in London.

Josh received his law degree, cum laude, from the University of Notre Dame Law School and his M.B.A. in Corporate Finance from the University of Notre Dame – Mendoza College of Business. Josh earned his bachelor's degree from Arizona State University. Prior to attending university, Josh served overseas in the United States Marine Corps as a Marine Security Guard/Embassy Security Guard.

Experience

  • Conducted due diligence and assisted in documenting merger and acquisition transactions, which included asset sales and purchases, stock sales and purchases, and membership interest sales and purchases on deals from $1M to $80M.
  • Assisted in the documentation of private offerings and advised clients on securities law issues related to issuing equity or debt, which included cryptocurrency offerings, employee benefit plans, and interests in debt instruments issued by commercial real estate developers.
  • Conducted reviews of commercial leases, title documents, and surveys, and drafted review summaries for commercial lenders in real estate and development financings, including construction and ground leasing; multi-unit residential projects; commercial retail projects; sale and leaseback of real estate holdings across dozens of states; and multi-thousand acre energy projects.
  • Reviewed, negotiated, and documented commercial leases for both landlords and tenants in a variety of industries.
