<p>Bill has tried hundreds of business disputes before judges, juries, or arbitrators in his nearly five decades of practice, and he also has argued dozens of appeals in state and federal courts. He has practiced nationally in the areas of non-compete, trade secret, and unfair competition litigation, and he has tried and won intellectual property licensing and royalty disputes collectively involving over $1 billion. In addition, Bill has been a leading trial lawyer in Minnesota in the area of ownership and governance disputes in closely held corporations, limited liability companies, and partnerships. He has co-authored the &quot;Noncompetition Agreements&quot; chapter of the <em>Business Disputes: Claims and Remedies Deskbook</em> since 2008.</p>

<p>John represents clients in complex commercial litigation matters, including business torts and contract disputes, with a particular emphasis on noncompete, trade secret, and financial services litigation. John helps clients navigate all stages of the litigation process and has significant experience representing large and small businesses in all forums: federal and state courts, arbitrations, and mediations.</p>

<p>Leora is a trial lawyer practicing primarily in the areas of general business, product liability, intellectual property, and trust and estate litigation. In the business, product liability, and intellectual property litigation side of her practice, she prides herself on offering exceptional legal service to businesses facing conflicts and challenges that at minimum threaten to distract from the products they are selling and services they are providing to our community, and at maximum are bet-the-company matters.    <title><![CDATA[Steve Schleicher Admitted to American College of Trial Lawyers]]></title>
   <description><![CDATA[<p>Litigation Partner <strong>Steve Schleicher</strong> has become a fellow of the American College of Trial Lawyers, one of the premier legal associations in North America.</p>

<p>Schleicher&rsquo;s induction ceremony took place Feb. 25 during the spring meeting of the College in Key Biscayne, Florida.</p>

<p>Founded in 1950, the American College of Trial Lawyers is composed of the best of the trial bar from the United States, Canada and Puerto Rico. Fellowship in the group is extended by invitation only and only after careful investigation, to those experienced trial lawyers of diverse backgrounds, who have mastered the art of advocacy and whose professional careers have been marked by the highest standards of ethical conduct, professionalism, civility and collegiality. Lawyers must have a minimum of 15 years trial experience before they can be considered for fellowship.</p>

<p>Schleicher, a former federal prosecutor and renowned trial lawyer, is the chair of Maslon&#39;s Investigations &amp; White Collar Defense Group, where he concentrates on high stakes criminal and civil litigation, government and internal investigations, and appellate practice. He is experienced in high profile cases and was widely recognized for his role as a special prosecutor in the internationally televised homicide trial of former Minneapolis police officer Derek Chauvin for the murder of George Floyd and for his work prosecuting the man responsible for the kidnapping and murder of 11-year-old Jacob Wetterling.</p>

<p>Membership in the American College of Trial Lawyers cannot exceed 1% of the total lawyer population of any state or province. The college maintains and seeks to improve the standards of trial practice, professionalism, ethics, and the administration of justice through education and public statements on independence of the judiciary, trial by jury, respect for the rule of law, access to justice, and fair and just representation of all parties to legal proceedings. The college is thus able to speak with a balanced voice on important issues affecting the legal profession and the administration of justice.</p>

   <title><![CDATA[Biden Issues Executive Order Targeting Non-Competes: Steps Employers Can Take Now]]></title>
   <description><![CDATA[<p>On Friday, July 9, 2021, President Joe Biden issued an&nbsp;<a href="https://www.whitehouse.gov/briefing-room/presidential-actions/2021/07/09/executive-order-on-promoting-competition-in-the-american-economy/" target="_blank">Executive Order&nbsp;</a>&quot;promoting competition in the American economy.&quot; Although the&nbsp;<a href="https://www.whitehouse.gov/briefing-room/statements-releases/2021/07/09/fact-sheet-executive-order-on-promoting-competition-in-the-american-economy/" target="_blank">fact sheet</a>&nbsp;accompanying the Executive Order states that the order will &quot;make it easier to change jobs and help raise wages by banning or limiting non-compete agreements,&quot; the Executive Order itself addresses non-compete agreements in only the below two clauses:</p>

<ul>
	<li>In explaining the policy goals, the Executive Order states, &quot;Powerful companies require workers to sign non-compete agreements that restrict their ability to change jobs.&quot;</li>
	<li>In the section on agency responsibilities, the Executive Order states, &quot;To address agreements that may unduly limit workers&#39; ability to change jobs, the Chair of the FTC is encouraged to consider working with the rest of the Commission to exercise the FTC&#39;s statutory rulemaking authority under the Federal Trade Commission Act to curtail the unfair use of non-compete clauses and other clauses or agreements that may unfairly limit worker mobility.&quot;</li>
</ul>

<p>Notably, the Executive Order is limited to &quot;the unfair use of non-compete clauses&quot; as well as &quot;other clauses or agreements that may unfairly limit worker mobility.&quot;<br />
&nbsp;<br />
The details of this Executive Order will be worked out through agency rulemaking, a process that can take years, and would almost certainly be the subject of legal challenges. The rulemaking process includes notifying the public of the proposed rules, allowing the public a comment period, drafting final rules, and choosing an effective date. Nonetheless, there are steps employers can take now to protect their legitimate business interests should a federal limitation or ban issue in the future.<br />
&nbsp;<br />
<strong>Steps Employers Can Take Now</strong></p>

<ul>
	<li><strong>Ensure that you are adequately protecting your trade secrets through practical, technical, and contractual measures.</strong></li>
	<li><strong>Review your current non-compete agreements to determine their fairness factor.</strong><br />
	Although the Executive Order does not provide additional guidance on when a non-compete agreement is &quot;unfair,&quot;&nbsp;any hypothetical limit on non-compete agreements will likely depend on:
	<ul>
		<li>the duration and geographical scope of the restriction,</li>
		<li>the wage/salary of the affected employee,</li>
		<li>the executive level of the affected employee,</li>
		<li>the employee&rsquo;s access to confidential information and trade secrets,&nbsp;and</li>
		<li>public interest considerations.&nbsp;</li>
	</ul>
	</li>
</ul>

<p>Note that an increasing number of states are restricting the use of non-compete agreements, so&nbsp;make sure that&nbsp;your agreements comply with the laws of the applicable&nbsp;states.</p>

<ul>
	<li><strong>Ensure your employee contracts include a severability clause.</strong></li>
	<li><strong>Apply the same steps to any other agreements limiting past and present employee activities, such as employee non-solicitation agreements.</strong>&nbsp;As noted above, the Executive Order is not limited to non-compete clauses, but calls out &quot;agreements that may unfairly limit worker mobility.&quot;</li>
</ul>

   <title><![CDATA[DOJ Brings First Criminal Enforcement Action Arising from No-Poach Agreements]]></title>
   <description><![CDATA[<p>On January 5, 2021, the Department of Justice (&quot;DOJ&quot;) brought a two-count criminal indictment against Surgical Care Affiliates, LLC, an owner and operator of health care facilities across the United States, and its successor, SCAI Holdings, LLC (collectively &quot;SCA&quot;). The indictment, alongside the HR guidance released by the DOJ and the Federal Trade Commission (&quot;FTC&quot;) in October 2016, may have implications for employers. Full background on the indictment and the 2016 guidance as well as considerations for businesses are provided below.</p>

<p><strong>Allegations in the SCA Indictment</strong></p>

<p>The indictment alleges that SCA entered into separate agreements with two unnamed competitor owners/operators of outpatient medical care facilities &quot;to suppress competition between them for the services of senior-level employees by agreeing not to solicit the other&#39;s senior-level employees.&quot; The indictment alleges that acts in furtherance of the conspiracy included:</p>

<ol>
	<li>agreeing not to solicit or proactively approach each other&#39;s senior-level employees;</li>
	<li>instructing employees that &quot;[w]e cannot reach out&quot; to the other companies&#39; employees and to take them &quot;off the list&quot;;</li>
	<li>monitoring compliance at the conspirators&#39; respective HR departments and alerting them of instances of recruitment; and</li>
	<li>instructing employees, for example, &quot;that although the candidate &#39;look[ed] great&#39; [we] &#39;can&#39;t poach her.&#39;&quot;</li>
</ol>

<p>The criminal indictment asserts these agreements constitute&nbsp;per se&nbsp;illegal horizontal conspiracies in violation of Section 1 of the Sherman Antitrust Act. The Sherman Act imposes criminal penalties of up to $100 million for a corporation and $1 million for an individual, along with up to 10 years in prison. This is the first criminal indictment based solely on no-poach agreements brought by DOJ and it is the culmination of policy pronouncements by DOJ and FTC over four years ago.</p>

<p><strong>October 2016 Antitrust Guidance for HR Professionals</strong></p>

<p>The DOJ and the FTC issued in October 2016 its joint &quot;Antitrust Guidance for Human Resource Professions&quot; (&quot;HR Guidance&quot;). The HR Guidance provided &quot;[a]greements among employees not to recruit certain employees or not to compete on terms of compensation are illegal.&quot; It made clear that the concern applied to &quot;competitors in the employment marketplace,&quot; thus such restraints are illegal &quot;regardless of whether the firms make the same products or compete to provide the same services.&quot; The HR Guidance further provided that &quot;an individual likely is breaking the antitrust laws if he or she:&hellip;agrees with individual(s) at another company to refuse to solicit or hire that other companies&#39; employees (so called &quot;no poaching&quot; agreements).&quot;</p>

<p>Prior to the HR Guidance, DOJ previously had brought civil, but never criminal, enforcement actions arising out of no-poach or non-solicitation agreements, primarily against technology companies such as eBay and Intuit, Lucasfilm and Pixar, and Adobe, Apple, Google, and others. The HR Guidance provided that &quot;[g]oing forward, the DOJ intends to proceed criminally against naked wage-fixing or no poaching agreements.&quot; Although DOJ has the authority to enforce the antitrust laws civilly or criminally, criminal enforcement is restricted to hardcore cartel conduct, such as price fixing or customer allocation. The HR Guidance announced DOJ&#39;s policy that going forward it would consider naked no-poaching agreements as fitting within this category of hardcore cartel conduct that rises to the level of criminal conduct. DOJ stated in the HR Guidance that it might: &quot;in the exercise of its prosecutorial discretion, bring criminal, felony charges against the culpable participants in the agreement, including both individuals and companies.&quot;</p>

<p><strong>Employer Considerations</strong></p>

<p>Despite periodic statements by DOJ over the four years following issuance of the HR Guidance that criminal enforcement actions would be brought, no such indictments were forthcoming until the SCA indictment last week. The SCA indictment over no-poach agreements reconfirms enhanced regulatory scrutiny of such restraints between companies concerning the solicitation, recruitment, and hiring of employees, including the increased potential of criminal enforcement. As a result, employers should consider:</p>

<ul>
	<li>reexamining and refining clear corporate compliance policies prohibiting such no-poach agreements.</li>
	<li>regularly communicating to all employees, reinforcing with periodic training, and periodically auditing policies prohibiting such agreements, as recommended with all antitrust compliance policies.</li>
</ul>

<p>In July 2019, DOJ announced a new policy in which it would &quot;consider compliance at the charging stage in criminal antitrust investigations.&quot; The SCA indictment combined with DOJ&#39;s policy to incentivize corporate antitrust compliance provides a strong reason to reexamine and strengthen antitrust compliance policies.</p>

Jevon and Peter will discuss how social media platforms are influencing the way people communicate and how lawyers litigate. They will analyze some of the evidentiary considerations that courts have grappled with when it comes to social media in litigation.</p>

<p><strong>Jevon</strong> focuses his work on construction and appellate litigation as well as general commercial matters. He provides practical advice to help his clients navigate all phases of their construction projects, from contract negotiations to asserting or defending claims. Jevon has significant trial practice experience, having taken complex construction matters to jury verdict, and he regularly prosecutes appeals in the Eighth Circuit as well as in Minnesota appellate courts. He is a member of the Minnesota Supreme Court Advisory Committee on the Rules of Evidence, and is active as a speaker and presenter on the topics of evidence and the rules governing federal and Minnesota state courts.</p>

<p><strong>Peter</strong> is a business litigator focused on resolving construction, insurance coverage, and other commercial disputes. He regularly represents clients in state courts, federal courts, mediations, and arbitrations.    <title><![CDATA[Stephanie Willing to Present at Minnesota CLE's 2019 New Lawyer Experience Seminar]]></title>
   <description><![CDATA[<p><strong>Stephanie Willing</strong>, member of Maslon's Litigation and Labor &amp; Employment Groups, will present at Minnesota CLE's 2019 New Lawyer Experience seminar on January 17, 2019. During her session, titled "Using Negotiation and Settlement Skills to Your Tactical Advantage," Stephanie will discuss how negotiation and settlement skills are often a key component to a client's success. She will also give helpful tips and strategies designed to gain tactical leverage and maximize the client's position.</p>
<p><strong>Stephanie </strong>regularly counsels clients on a variety of employment law issues, including hiring, disciplining, and terminating employees and wage and hour questions. She also advises employers on compliance with local drug testing laws (Minnesota's DATWA) and complying with medical marijuana laws. Additionally, Stephanie represents clients in employment disputes involving wage and hour violations, non-competes, wrongful discharge, and claims of discrimination. She has significant experience helping clients navigate through all stages of the litigation process and across many different forums, including federal and state courts, administrative actions, and privately arbitrated disputes.</p>

   <description><![CDATA[<p><strong>Bill Pentelovitch</strong>, partner in Maslon's Litigation and Labor &amp; Employment Group, will present at Minnesota CLE's advanced workshop titled How to Best Present or Defend the Substantive Motion on January 7, 2019. During his session, "What I&rsquo;ve Learned In The Past 45 Years," Bill will give tips on how to effectively show the court the available facts that require the case to proceed and how to establish credibility regarding the legal standard the court should adopt.</p>
<p><strong>Bill </strong>is a business trial lawyer with more than 44 years of experience and hundreds of jury, bench, and arbitration trials, as well as dozens of appeals in state and federal courts to his credit. For three decades he has practiced nationally in the areas of non-compete, trade secret and unfair competition litigation, and intellectual property licensing and royalty disputes. In addition, Bill is a leading trial lawyer in Minnesota in the area of ownership and governance disputes in closely-held corporations, limited liability companies, and partnerships. His wide-ranging trial practice over the past four decades has encompassed virtually every type of dispute in which businesses can become embroiled, representing a wide variety of financial institutions, medical device and pharmaceutical companies, manufacturing companies, real estate and construction companies, and professional service firms in breach of contract, business tort, and statutory liability cases.</p>

<p><strong>Stephanie </strong>concentrates her practice on a variety of employment law issues, including hiring, disciplining and terminating employees as well as wage and hour questions. She is well versed in compliance with local drug testing laws under the Minnesota DATWA and in complying with medical marijuana laws. Prior to joining Maslon, Stephanie practiced at a national labor and employment firm as well as a local boutique litigation firm. She graduated Order of the Coif from the University of Oregon School of Law and earned her Bachelor of Arts degree, <em>magna cum laude</em>, from the University of Southern California.</p>
