For more than 25 years, Thadd Paul has been counseling national and international clients on a variety of complex technology and IP transactions. He works primarily on technology contracts, including drafting and negotiating agreements for licensing, development, and distribution of technology as well as advertising and software subscription agreements. Thadd also works on mergers and acquisitions and is skilled at handling commercial transactions and drafting contracts in non-technology areas such as product marketing, sales and distribution, procurement of goods and services, electronic commerce, and hospitality.

Prior to joining Maslon, Thadd worked in the legal departments of multiple Fortune 500 companies, giving him a unique vantage point when it comes to understanding client needs. He recognizes the concerns and challenges in-house counsel face, and works with them to find practical, efficient, effective, and creative solutions.


  • Negotiated hardware and software technology agreement for the development of point-of-sale solutions and marketing analytics data capture.
  • Created and negotiated OEM agreements for PC hardware and peripherals to be sold by national retailer.
  • Counsel on M&A team supporting $4.9 billion acquisition bid.
  • Served as lead in-house counsel on M&A transactions involving the acquisition of several software development companies.
  • Counseled internationally-recognized consumer electronics company on all development and licensing aspects for three different video game platforms.
  • Lead counsel for the IT function of one of the nation’s largest health care providers.
