Overview

As a securities lawyer, Doug Holod guides private companies in equity raise transactions, working with both the company raising the equity and its strategic and/or financial investors. Doug has counseled several private companies through a Series A round and multiple follow-on rounds, each time working to protect the business and its stockholders.

He has extensive experience working with boards of directors of both publicly traded and private companies, regularly providing counsel and advice on directors’ fiduciary duties in a myriad of transactions, including acquisitions, corporate takeovers and hostile bids, equity offerings, and equity repurchase plans. He also advises on disclosure issues, litigation, and internal investigations. Much of Doug's focus is on deciphering complicated legal matters for executives and boards to help them make informed decisions.

Doug served as chair of Maslon's Corporate & Securities Group for 10 years and was a member of Maslon's executive committee for more than six years, serving for two of those years as chair. In addition, Doug has personally served on the board of directors of Meritas, an international law firm network. He has also attended the Aspen Institute's seminars on leadership.

MyMedicareBot – Served as special M&A counsel to this Los Angeles-based health care technology company through its sale.
Hennepin Life Sciences – Represents this Minnesota-based pharmaceutical development company on its equity financing and license agreements.
Benovate – Serves as corporate counsel for this health care technology company that manages health care programs and health incentives.

Acuo Technologies – Assisted in private placements, contracts, and served as main corporate counsel for this Minnesota-based health care software company through its sale.
DestinationRx – Served as primary corporate counsel for this Los Angeles-based health care technology company on its Series A Preferred Stock offering led by a health care venture capital firm. Worked extensively for the client through its sale.

Additive Manufacturing

Evolve Additive Solutions – Works extensively with this Minnesota-based company that develops 3D printing machines for manufacturers. Assisted in Evolve's spin-off from Stratasys in June 2017 and coordinated the financing provided by certain strategic investors such as LEGO and Stanley Black & Decker in 2018. Has also negotiated several development and supply agreements with Evolve customers worldwide.
Azul 3D – Assisting this Chicago-based company with its preferred stock offerings and agreements with a strategic Fortune 100 investor.
Virtex Additive Manufacturing – Serves as corporate and securities counsel to this Minnesota-based manufacturer of 3D printing equipment.
Counseled a California-based 3D printing company in its strategic restructuring.
Cima Nanotech – Worked extensively with this Singapore-based developer of nanotechnology conductive coatings. Assisted with several rounds of private placements—including joint ventures/investments with Japanese, Korean, and Singaporean investment companies or manufacturers—and helped negotiate various complex agreements with some of the company's business partners. The company's assets were acquired by a group of Singapore-based investors.

Farnam Street Capital – Serves as corporate and securities counsel to this Minneapolis-based entity that manages hedge funds and other pooled investment vehicles.
X-Cubed Capital Management – Serves as corporate and securities counsel to this Minneapolis-based entity that manages a series of hedge funds.

Restaurant

Casina Hospitality – Serves as corporate counsel of this Houston-based Mexican-themed restaurant company with restaurants in Texas, Louisiana, and Oklahoma.

Landry's Restaurants – Represented Landry's Restaurants in its acquisition of Cadillac Ranch restaurants.
Lexington Restaurant Group – Works with this company's principal owners and management team to assist them in structuring financing rounds and other transactions.
