Financial Services Associate Attorney
Responsible for assisting and advising clients in corporate trust representation, commercial financing transactions, debt restructuring, loan workouts, and the pursuit of creditor remedies in bankruptcy and other insolvency or workout proceedings in state or federal court. Specific duties include: (1) drafting and negotiating transaction documents such as credit agreement amendments, ancillary loan documents, financing statements, holder notices and directions, trust instruction petitions, forbearance agreements; (2) assisting in the review of legal documents for accuracy and completeness and conducting thorough due diligence; (3) conducting legal research and staying abreast of legal developments impacting the corporate trust space such as changes to the Trust Indenture Act, Uniform Commercial Code (UCC), and bankruptcy laws; (4) providing practical legal advice to trust officers, corporate trust departments, and business teams to minimize legal and operational risk; (5) responding to day-to-day client inquiries and providing strategic guidance to help clients navigate evolving legal landscapes; (6) working closely with law firm partners to ensure that matters are handled efficiently and in line with client expectations. Position requires onsite at minimum 3 days a week and permits remote work up to 2 days a week.

Requirements:
Juris Doctor degree. MN Attorney License.
Must possess at minimum 6 months experience or equivalent course work with each of the following:
- Chapter 7 bankruptcy proceedings
- Financial and trustee-related documents including indentures and credit agreements, ancillary loan documents, financing statements, holder notices and directions, trust instruction petitions, forbearance agreements
- Financial due diligence, including UCC and tax lien searches, and collateral reviews
- Legal research and writing
- Working in a dynamic, fast-paced, legal-based environment
Salary: $84,822-195,000/year
