Corporate & Securities Associate

Responsible for providing all aspects of the day-to-day legal activities and administration of the attorney-client relationship, including assisting and advising corporate clients in the areas of mergers and acquisitions, private and public securities offerings and compliance, entity formation and governance, commercial contracting, drafting technology agreements, and general business counseling. Specific duties include: advising clients on contract drafting and negotiation, compliance issues, and general corporate law, drafting comprehensive private placement memorandum (PPM) or Offering Memo, and Investment Manager Agreements for private equity funds, including structuring and customizing documents for various fund types and investor profiles; forming new entities for private equity fund clients, including structuring and establishing Special Purpose Vehicles (SPVs); providing support for IPO transactions, including due diligence; researching and analyzing client questions regarding federal securities laws, SEC regulations, and compiling interpretive guidance using SEC no-action letters relevant to client circumstances; and reviewing, analyzing, and negotiating software license agreements and software-as-a-service (SaaS Agreements). Position requires onsite in Minneapolis, MN, at minimum 3 days a week and permits remote work up to 2 days a week.

Requirements:

Juris Doctor degree and 1 year of experience as associate attorney in law firm experience or in-house experience supporting compliance and transactional work. Minnesota attorney license.

Must possess at minimum 1 year of experience with:

  • Advising clients on contract drafting and negotiation, compliance issues, and general corporate law;
  • International trade with contract negotiation and international business transactions;

Must possess at minimum 1 year of experience or equivalent course work with each of the following:

  • Entity formation;
  • Corporate due diligence in mergers and acquisitions;
  • Administrative law principles including SEC regulations and compliance.

$98,176-$197,500/year
